Rothschild dirigirá la OPV de Loterías, la mayor privatización de la historia

El Gobierno ya ha elegido a la entidad que se encargará de dirigir la mayor privatización de la historia. El Ejecutivo ha designado a Rothschild como banco asesor de la enajenación de Loterías y Apuestas del Estado (LAE), que puede ascender a entre 7.000 y 10.000 millones de euros. El banco británico se ha impuesto a Lazard en un concurso peculiar que se ha dilatado mucho en el tiempo. Uría y Menéndez y Clifford Chamce serán los asesores legales de la colocacion, prevista para octubre, que también contará con Pricewaterhouse como asesor estratégico.
El proceso llevaba abierto desde enero, poco después de que Elena Salgado anunciara a finales de 2010 que el Gobierno llevaría a cabo ventas de empresas públicas para reducir el déficit público. Una de ellas era Aena y la otra, la LAE, que sería la primera. El ministerio de Economía pidió ofertas a varias firmas de abogados y a varios bancos de inversión, pero poco antes de resolver la selección la aplazó.


La explicación es que el Ejecutivo había decidido cambiar al equipo gestor, incluido el presidente. El cargo cayó en manos de Aurelio Martínez, exprimer ejecutivo de Instituto de Crédito Oficial (ICO) y de Navantia. Martínez asumió las funciones a mediados de marzo y pidió tiempo para tomar sus decisiones.


Ahora acaba de adoptar una muy importante, la del banco que le asesorará en la mayor Oferta Pública de Venta (OPV) de la historia de España. El récord anterior está en la colocación de acciones que hizo el Estado en 1998 con lo que le restaba del capital de Endesa. La operación ascendió a 6.250 millones de euros.
De esa labor se encargará Rothschild, que el pasado año estuvo al frente de la salida a bolsa de Amadeus, la más grande de España desde finales de 2007. En las próximas semanas tendrá que elegir a los bancos que dirigirán la venta de los títulos de las Loterías del Estado. Fuentes financieras apuntan a que al menos serán cuatro, dos españoles –se da por hecho que serán BBVA y Santander- y otros dos extranjeros.


Porque desde Economía ya se ha trasmitido a los bancos interesados en dirigir la operación que la privatización se hará mediante una colocación entre inversores particulares e institucionales. Aunque todavía es pronto para asegurar qué porcentaje de las acciones se venderán entre ahorradores minoristas, si parece claro que el Gobierno quiere hacer una oferta multitudinaria para hacer partícipe al mayor número posible de personas.


De esta manera, se desestima la opción de vender Loterías y Apuestas del Estado a grandes jugadores del sector. Cuando el Gobierno oficializó su interés en desprenderse de un tercio del capital del ente público, surgieron los nombres de varios candidatos para su compra. Aparecieron Bwin, que negó su interés, la italiana Lottomatica y las españolas Codere, Cirsa y Recreativos Franco. Sin embargo, fuentes del mercado explican que ninguna de ellas tiene la capacidad financiera para adquirir el 30%.


Núcleo duro

Otra alternativa que ha analizado el Gobierno es la creación de un núcleo duro de accionistas en paralelo a la colocación en bolsa, tal y como se hizo en la privatización de Iberia, operación en la que entraron en su capital Caja Madrid, BBVA, El Corte Inglés, British Airways y Logista como inversores de referencia. No obstante, esta fórmula provoca cierto rechazo entre los bancos de inversión porque la experiencia de la aerolínea no salió precisamente bien.


Por ello, y si la situación de los mercados lo permite, Loterías y Apuestas del Estado será una empresa cotizada tras del verano. Se recupera así el viejo sistema de privatizaciones empleado en los años noventa, primero por el PSOE de Felipe González y posteriormente por el PP de José María Aznar. Si se concretan las valoraciones iniciales, según las cuales la capitalización oscilaría entre los 25.000 y los 35.000 millones, la OPV de LAE será la mayor de la historia de la bolsa española. Su importe puede rondar los 10.000 millones

Donde quiera que vayas por el mundo, las culturas tienen sus propias canciones: canciones de amor, de canción de cuna, canciones de guerra y danza. Ahora, un nuevo estudio ha encontrado que no es solo la música en sí la que está en todas partes. Los mismos patrones se pueden encontrar repetidos en los mismos tipos de música, en todo el mundo.

Utilizando más de un siglo de investigación en etnomusicología de 315 culturas, así como una nueva colección de grabaciones de canciones de todo el mundo, los científicos han realizado un análisis intercultural de las similitudes y diferencias en nuestra música.

El equipo de investigación descubrió que las estructuras subyacentes y los elementos melódicos de las canciones son similares en todo el mundo, de modo que el contexto conductual de una canción se puede predecir solo por sus características acústicas.

Llegar a este resultado requirió un trabajo realmente impresionante. Los investigadores pasaron años explorando archivos y bibliotecas y colecciones privadas para compilar una base de datos completa de canciones con el fin de realizar su comparación. Han llamado a esta base de datos la Historia Natural de la Canción.

Samuel Mehr psicólogo  de The Music Lab en la Universidad de Harvard, dijo en un comunicado:

“Estamos tan acostumbrados a poder encontrar cualquier pieza de música que nos guste en Internet. Pero hay miles y miles de grabaciones enterradas en archivos a los que no se puede acceder en línea. No sabíamos qué encontraríamos: en un momento encontramos un número de llamada de aspecto extraño, le pedimos ayuda a un bibliotecario de Harvard y veinte minutos más tarde sacó un carrito de aproximadamente 20 cajas de grabaciones de música celta tradicional”.

En total, recopilaron grabaciones de 118 canciones de 86 culturas que abarcaban 30 regiones geográficas. Pero esto es solo una pequeña parte de la Historia Natural de la Canción. El equipo también estudió una gran base de datos etnográfica de 315 culturas, buscando menciones de canciones. Cada cultura tenía música descrita.

Entonces, más de 5.000 descripciones de canciones, incluidas más de 2.000 traducciones de letras de canciones, de 60 culturas en 30 regiones geográficas también entraron en la base de datos.

Luego vino el arduo trabajo de catalogar y analizar las canciones. Utilizaron una serie de herramientas, incluidas las calificaciones de los oyentes, los resúmenes de las máquinas y las transcripciones y resúmenes de expertos.

Al final, tenían una base de datos completa que podían usar para hacer referencias cruzadas que permitan comprender cómo los humanos escriben música en todo el mundo, con un enfoque particular en canciones curativas, canciones de amor, canciones de baile y canciones de cuna.

Manvir Singh, biólogo evolucionist de la Universidad de Harvard, dijo en un comunicado:

“Las canciones de cuna y de baile son omnipresentes y también tienen muchos estereotipos. Para mí, las canciones de baile y las canciones de cuna tienden a definir el espacio de lo que puede ser la música. Hacen cosas muy diferentes con características que son casi opuestas entre sí”.

En una investigación previa, el equipo descubrió que incluso cuando nunca antes habían escuchado una canción en particular, los oyentes podían medir con relativa precisión cuándo una canción era una canción de cuna. Esta nueva investigación parece apoyar esos hallazgos: independientemente del lenguaje hablado, los humanos tienen un lenguaje universal en la canción.

Hubo, por supuesto, alguna variación en las canciones; por ejemplo, algunas canciones son más formales, algunas canciones son más religiosas y algunas canciones más estimulantes; pero esta variedad es más pronunciada entre las canciones en cada cultura individual. Las similitudes subyacentes interculturales son más fuertes.

Los investigadores creen que esto significa que podría haber algo en nuestro cerebro que entienda la música a nivel universal.

Los investigadores escribieron en su artículo:

“Proponemos que la música de una sociedad no es un inventario fijo de comportamientos culturales, sino el producto de facultades psicológicas subyacentes que hacen que ciertos tipos de sonido se sientan apropiados para ciertas circunstancias sociales y emocionales. Los modismos musicales difieren con respecto a las características acústicas que usan y a las emociones que involucran, pero todos se basan en un conjunto común de respuestas psicológicas al sonido”.

Es, según el equipo, un paso para finalmente desbloquear y construir una gramática musical universal, así como comprender cómo nuestras mentes crean y responden a la música.
